1. Acceptance of Terms

By accessing or using the EmbDesign website (the "Site"), you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you may not use our website or services.

2. Description of Service

EmbDesign is an online marketplace that connects embroidery designers (Vendors) with customers looking to purchase digital embroidery design files. We facilitate the sale and download of digital products but are not a party to the actual transaction between vendors and customers beyond processing payments and providing the platform.

3. User Accounts

To make a purchase or become a vendor, you must register an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. Product Listings and Accuracy

Vendors are solely responsible for the accuracy, legality, and completeness of their product listings, including descriptions, images, pricing, and file formats. EmbDesign does not warrant that product descriptions or other content are accurate, complete, reliable, current, or error‑free.

5. Purchases and Digital Delivery

When you purchase a digital embroidery design, you will receive a download link immediately after successful payment. You agree that you will not attempt to resell, redistribute, or share the downloaded files except as explicitly permitted by the vendor’s license terms (usually personal or small commercial use).

6. Pricing and Payment

All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. We use third‑party payment gateways (such as Razorpay) to process payments; we do not store your credit card or UPI details. You are responsible for any additional fees charged by your bank or payment provider.

7. Refunds and Cancellations

Due to the digital nature of our products, all sales are final once the file has been downloaded. Please review our Cancellation & Refund Policy for detailed information about when refunds may be granted.

8. Vendor Terms

Vendors agree to:

• Provide original designs or have proper licenses for any third‑party elements
• Not upload copyrighted or infringing content
• Price their products fairly and accurately describe file formats and usage rights
• Pay applicable commission fees as outlined in the vendor dashboard

EmbDesign reserves the right to remove any listing that violates these terms or for any other reason without prior notice.

9. Intellectual Property

All content on the EmbDesign website (excluding user‑uploaded designs) – including logos, graphics, layout, and code – is the property of EmbDesign and protected by copyright laws. Individual design files remain the intellectual property of their respective vendors, who grant customers a non‑exclusive license to use the design as specified.

10. Prohibited Conduct

You agree not to:

• Use the Site for any unlawful purpose or in violation of any local, state, national, or international law
• Attempt to gain unauthorized access to any portion of the Site
• Upload viruses, malware, or any code that could harm our systems
• Harass, abuse, or harm another person or entity
• Reverse engineer, decompile, or disassemble any software used on the Site

11. Limitation of Liability

To the fullest extent permitted by law, EmbDesign and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Site; (ii) any conduct or content of any third party on the Site; (iii) unauthorized access, use or alteration of your transmissions or content.

12. Disclaimer of Warranties

Your use of the Site is at your sole risk. The Site is provided on an "AS IS" and "AS AVAILABLE" basis. EmbDesign expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

13. Indemnification

You agree to defend, indemnify, and hold harmless EmbDesign and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to this page. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.
